These Terms of Service ("Terms") govern your use of websites, APIs, and software operated by Intertrace AI, Inc. ("Intertrace"). By creating an account, accessing the dashboard, or calling our APIs, you agree to these Terms and our Privacy Policy.
1. The service
Intertrace provides runtime AI security capabilities, including gateway classification, runtime verification for agents, posture analytics, findings and incidents, reporting, simulation tools, and optional managed agent workflows. Features may vary by plan.
2. Accounts & eligibility
You must provide accurate registration information and safeguard credentials. You represent that you have authority to bind your organization. You may not share accounts or resell access except as permitted in an enterprise agreement.
3. Customer data & instructions
You retain ownership of data you submit. You grant Intertrace a license to host, process, and display that data solely to provide and improve the service for you, as described in the Privacy Policy and any order form. You are responsible for lawful collection of end-user data and for notices/consents where required.
4. Acceptable use
You agree not to:
- Violate law or third-party rights.
- Probe, disrupt, or circumvent security or rate limits.
- Send malware, spam, or content intended to harm Intertrace or others.
- Reverse engineer our software except where law permits.
- Use the service to build competing security-scoring products without written permission.
5. API & availability
We strive for high availability but do not guarantee uninterrupted service. We may modify or deprecate endpoints with reasonable notice. See Status for operational updates.
6. Fees & taxes
Paid plans are billed according to your order. Fees are non-refundable except as required by law or stated in writing. You are responsible for applicable taxes.
7. Confidentiality
Each party may receive confidential information from the other. The recipient will use reasonable care to protect it and use it only for the purpose of the agreement.
8. Disclaimers
THE SERVICE IS PROVIDED "AS IS." TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTERTRACE DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. INTERTRACE DOES NOT WARRANT THAT DETECTION WILL CATCH EVERY ATTACK OR THAT OUTPUTS WILL MEET YOUR COMPLIANCE OBLIGATIONS WITHOUT YOUR OWN CONTROLS AND REVIEW.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INTERTRACE'S TOTAL LIABILITY ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO INTERTRACE IN THE TWELVE MONTHS BEFORE THE CLAIM (OR, IF NONE, ONE HUNDRED DOLLARS). NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
10. Indemnity
You will defend and indemnify Intertrace against third-party claims arising from your data, your misuse of the service, or your violation of these Terms, subject to Intertrace's prompt notice and reasonable cooperation.
11. Termination
You may stop using the service at any time. We may suspend or terminate access for material breach, risk to the platform, or non-payment after notice where practicable. Sections intended to survive will survive termination.
12. Governing law
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules, with exclusive jurisdiction in courts located in Delaware, except where prohibited.
